Limited Single Use License

The subscriber acknowledges and agrees that they are solely responsible for maintaining the confidentiality of their user name and password. The subscriber shall not disclose their user name and password to any third party or allow any third party to use their user name and password. In the event of unauthorized use of the subscriber's user name and password, the subscriber agrees to immediately notify the ACO. The subscriber agrees to use the software licensed to them by the ACO solely for their own internal business purposes and not for the benefit of any third party. The subscriber shall not share, transfer, or otherwise allow any third party to use their access to the software licensed to them. The subscriber acknowledges that the software license granted to them is restricted to a single user license and is not transferable or sub-licensable. Any unauthorized use of the software by the subscriber, or by any third party using the subscriber's access, shall be a material breach of this agreement and may result in the termination of the subscriber's license to use the software. The subscriber agrees to comply with all applicable laws and regulations relating to the use of the software, including but not limited to the export control laws and regulations of the United States of America.

ASSIGNMENT

You may not assign this Agreement, any rights or licenses granted in this Agreement, or operation of your Account to others without our prior written consent. If you wish to make such an assignment, please contact us. If we consent to the assignment, the assignee must agree to assume all of your rights and obligations owed by you related to the assignment, and must agree to comply with the terms of this Agreement. Agency Couture may assign this Agreement without your consent or any other restriction. If we make an assignment, we will provide reasonable Notice to you.
